Cortex Business Solutions Inc. (TSXV:CBX) (the "Company" or "Cortex") has today entered into an agreement with a syndicate of underwriters led by Cormark Securities Inc. and including Stonecap Securities Inc. and Wolverton Securities Ltd. (collectively, the "Underwriters") pursuant to which the Underwriters have agreed to buy and sell to the public 30,000,000 common shares ("Common Shares") of the Company at a price of $0.20 per Common Share, for gross proceeds to the Company of $6,000,000 (the "Offering"). The Underwriters will also have the option, exercisable in whole or in part at any time up to 30 days after the closing of the Offering, to purchase up to an additional 4,500,000 Common Shares of the Company. In the event that the option is exercised in its entirety, the aggregate gross proceeds of the Offering will be $6,900,000. Closing of the Offering is expected to occur on or about June 12, 2012 and is subject to regulatory approval including that of the TSX Venture Exchange.

The Common Shares to be issued under the Offering will be offered by way of a short form prospectus in all provinces in Canada, except Quebec and in the United States on a private placement basis pursuant to an exemption from the registration requirements of the United States Securities Act of 1933, as amended, and certain other jurisdictions.

The net proceeds of the Offering will be used for U.S. expansion, and for general corporate and working capital purposes.
